CIP Alternatives / Solutions

Mr. Gleason said in the event that the Planning Board decided not to reinstitute the CIP, the Town would be in need of a similar type plan to anticipate capital needs. Mr. Gaydos said the departments for the past few years had been encouraged to l= ist out their equipment, assets, etc. He said that process should continue so in the event the CIP was reinstituted, the Town would be able to provide information for the replacement of assets and an equipment schedule. Mr. Gleason asked Mr. Gaydos if he= was prepared to go to the departments and request that they start preparing that information. Mr. Gaydos state= d that a lot of the departments already had because they understood that the Selec= tmen were trying to keep the tax rate as level as possible. He said the departments were being proactive with listing out their needs.

Mr. McDevitt said the Planning Board would be meeting on Thursday nig= ht, at which time he would bring the issue up and see how they wanted to proceed.

Mr. Haverty commented that the strength of the CIP was not only going beyond the Selectmen’s purview in working with all departments (i.e. Cemetery and Library Trustees), but they also had access to certain planning resources as well. He said the Town already reviewed their capital needs for the upcoming years. He asked = Mr. McDevitt to encourage the Planning Board to reinstitute the committee. He also questioned the statutory requirements that the CIP fulfilled.

Mr. McDevitt and Mr. Haverty abstained from the vote. They were not present for the meet= ing being reviewed.

PUBLIC HEARING – Pursuant to NH RSA 53-C: 3-a, the Town is holding a public hearing on the proposal for renewal of the cable television franchise agreement with Comcast.

Mr. Gleason informed that pursuant to RSA 53-C:3-a, a public hearing = was being held to review the cable television franchise agreement with Comcast.

Mr. Gaydos reviewed the sections of the agreement. The description of Annual Revenue = was broadened regarding what was described as revenue which included advertising and home shopping revenues. He explained if someone were to purchase something advertised on television the Town would receive a portion of that revenue as what they pay for their reg= ular subscription. He said the amo= unt of revenue was (at this point) unknown. The broadening of the definition had the ability to be amended if th= ey found it was not something they wanted to do.

Mr. McDevitt questioned if it was a suggestion by the counsel that reviewed the agreement. Mr. G= aydos said it had been put into the contract because it expanded the revenues that the Town generated. Mr. McDev= itt said that hadn’t been done in the past.&n= bsp; He said he may want to pull it out of the contract. Mr. Gleason said he’d like M= r. Gaydos to run through the entire contract.= He also had questions. Mr. Gaydos said there hadn’t been a full discussion regarding the change because they didn’t know what the impact would be. He said it could be removed if the= Board desired to do so. =

Mr. Gaydos continued to review the changes to the agreement.

Mr. McDevitt said the description (of the revenues) sounded as if whe= n a person purchased something on a shopping channel, a small percentage would = go toward the franchise fee paid to the Town.= He said the Town had not done that in the past. He asked if Comcast would show this franchise fee on the customer’s bill. Mr. Gaydos said it would be includ= ed in the franchise fee amount. He = said it was a sales tax. Mr. Gleas= on commented that the typical franchise fee could be higher based on the additional fees the Town would get.

Mr. Gleason saw that Comcast was to provide yearly reports apprising = the Town of their performance relative to customer service and response time. He asked if this was being done. Mr. Gaydos said the Town received = these reports. He noted that the Ca= ble Television Coordinator Jim Greenwood, followed up with any complaints and d= ealt directly with Comcast. There = was a very good success rate. Mr. G= leason asked if the Town would have to pay for the relocation of cable if a new fi= re station was constructed. Mr. = Gaydos stated Comcast was aware of the new fire station; because of its proximity = to the lines and center of Town Comcast didn’t indicate there would be an increase. Mr. Gleason felt it= would be appropriate to have something in writing indicating there would be no additional charge for relocating the fire station. Mr. Gaydos said he would do so. Mr. Gleason confirmed that the Ann= ex was included in Town buildings because the Cable Department was still in that building. Mr. Gaydos answered yes. Mr. Gleason commented th= at he reviewed the services provided and saw that the Cemetery was not included.<= span style=3D'mso-spacerun:yes'> He asked if they had expressed an interest in having services. = Mr. Gaydos said there had not been an interest in the past, but he would ask. Mr. Gleason said feedback had been received from St. Patrick’s Church and the Congregational Church. He asked if the Baptist Church wanted a similar arrangement. Mr. Jim Greenwood (who had been in the video control room) stepped forward to answer the Selectmen. He said= the Baptist Church hadn’t approached the= Town, but if they did it would probably cost the Town a lot of money to run the w= ires to their area. He said Comcas= t only supported the infrastructure around the center of Town. He commented that Comcast question= ed the two churches on the list, and were told that live broadcasts were done every week. For this reason the two churches weren’t removed. Mr. Gaydos asked if the churches were receiving free service. Mr. Greenwood answered no. Mr. Gaydos questioned if the Cemet= ery could obtain free service. Mr. Greenwood said the question was brought up in the past. They had never been included in the contract; and they haven’t approached Mr. Greenwood to request access.

Mr. Gleason asked if the $100,000 allocated for capital would be redu= ced by a fee (interest). Mr. Gree= nwood said in the last contract the Town received one lump sum. In this agreement they opted to get three payments, which would reduce the line item for the cable subscribers. Mr. Gleason note= d that the attorney suggested the Town receive a side letter on the internet servi= ces for the schools. He asked if it h= ad been received. Mr. Gaydos sta= ted there was a verbal agreement; a written letter was being prepared.

Mr. Lynde read aloud a portion of the attorney’s letter that indicated the agreement was strong and would have significant benefits over= the ten year term.

Mr. Gleason suggested providing the Budget Committee with the pertine= nt portions of the agreement.

There was no public input.

Mr. Gleason asked if it was appropriate to vote regarding the agreement. Mr. Gaydos replied yes.

Mr. McDevitt objected to the sales tax and wanted it to be removed. Mr. Gaydos noted the language was contained in Section 1.1,N (page 7 of the contract). The Selectmen reviewed the section= . Mr. McDevitt said his intent was t= o take out the reference under Gross Revenue.&nbs= p; He asked if the Town, under the existing agreement, was benefiting f= rom a tax on equipment rental fees. Mr. Greenwood was unsure. He said= it would include items such as cable modems, digital boxes etc. Mr. Gleason believed the question = was in connection with the wording ‘advertising and home shopping revenue= 217; which would increase the franchise fee on subscriber bills.

Mr. McDevitt made a motion to accept the contract, except for page 7,= and delete the words ‘advertising or home shopping revenue’. Mr. Haverty seconded the motion. Mr. Lynde asked if deleting the wo= rds would create a problem for Comcast in how they process their bills. Mr. Gaydos said when he and Mr. Gr= eenwood meet with Comcast they indicated they would do it either way; there were so= me towns vehemently against sales taxes.

MOTION:

(McDevitt/Haverty) To accept the contract, except = for (specific wording contained on) page 7, and delete the words ‘advertising or home shopping revenue’.

VOTE:

The Selectmen then voted regarding the acceptance of the contract.

MOTION:

(Lynde/Haverty) To approve the ten year Comcast agreement with the Town of Pelham as modified.

VOTE:

(5-0-0) The motion carried.

The public hearing was concluded.&nb= sp; It was noted that the agreement would be signed by the Selectmen aft= er the meeting.

OPEN FORUM

Mr. Paul McDonough, = 29 Mammoth Road, came forward to address the Selectmen. He discussed a sit= uation with fireworks sparks landing on rooftops.= He contacted the Fire Department who checked the building in question. He commented on the= ir diligence and was thankful for it. Mr. McDonough told the Selectmen how helpful and efficient the emplo= yees were at the Transfer Station. He ended by telling a story about a rabid raccoon that had been on his property and how Mr. Haverty assisted and the Police Department responded.

APPOINTMENTS

Brian Johnson, Director of Parks and Recreation: =

Park & Recreation Director Brian Johnson came forward to discuss = his department and provide the Selectmen with updates.

Update on Programs and Concerns – Mr. Johnson outlined the new programs offered and the success of the existing programs. He noted t= he donations provided and how the collaboration of the various programs taking pride in their fields aided in the upkeep of the areas.

Mr. Gleason commended Mr. Johnson’s hard work given the number = of activities in Town. He said i= t was obvious that the Town had a viable and active recreation program covering a= ll elements of society that was well embraced by the community. Mr. Johnson said the department had approximately sixty-five programs they ran. Mr. Gleason questioned if collabor= ation with the Senior Center had been reviewed. Mr. Johnson said he spoke with the Director at the Senior Center who was alre= ady reviewing programs.

Mr. McDevitt asked for the enrollment at summer camp. Mr. Johnson said there were approximately 270 children. He noted the available options for enrollment. Mr. Gleason asked if there had bee= n an increase in scholarships. Mr. Johnson answered yes. He beli= eved scholarships in 2010 totaled approximately $2500 and in 2011 the number had increased to over $4200. Mr. Gleason asked if any children had been turned away. Mr. Johnson answered no.

Mr. Johnson discussed the status of the playing fields and the repairs needed based on their active usage. He spoke about upcoming repairs to fields/recreation areas. He said they were looking to the T= rust Fund to defray some of the field repair costs to Muldoon Park; additional funds were raised through fund raising by recreation programs. <= o:p>

Request from Parks & Recreation to Expend Funds from Raymond Pa= rk Trust Fund in the Amount of $11,700 for Installation of Irrigation System at Raymond Park Soccer Fields

Mr. Gleason questioned if the intent was to have the Trust Fund reimb= urse the funds. Mr. Johnson replied yes.

Mr. Viger questioned where the money came from that initially paid the bill. Mr. Johnson said he spo= ke with the Town’s finance department who indicated payment was in limbo= ; if the request doesn’t go through it will be paid using program fees (revolving account.) Mr. Viger asked if the bid process was used for the installation of the irrigation system. Mr. Johnson replied yes. They contacted several l= andscaping companies and advertised in the newspaper for two weeks. Two bids were received; Ace Landsc= aping, Dracut, MA was awarded the bid.

Mr. Lynde recalled discussing the project last year while having budg= et conversations. He believed th= e bill had already been paid out of the General Fund; the General Fund now needed = to be reimbursed from the Trust Fund. Mr. Viger commented that the request seemed to be backwards; there w= as a request for money that had already been spent. Mr. Lynde believed the decision wa= s made the previous year and questioned if a vote was needed. Mr. Gleason said a vote was requir= ed to expend the funds from the Trust Fund because the Selectmen were the agents = to expend. Mr. McDevitt said the= y were voting on the accounting transaction. Mr. Gleason discussed the intent of the Trust Fund; in order to bill= it, the Trustees will want to see a vote indicating the Selectmen’s appro= val to do so. He said it was a tw= o-step process, one being the approval of the expenditure from the Trust Fund, the second is to transfer the money back to the Town. Mr. Lynde believed there had been = prior approval from the Selectmen because they discussed the project and the fund= ing source. He said they had agre= ed to take the money out of the Trust Fund, though the cost was unknown at the time.

Mr. Gaydos explained it was a multi-stage process and outlined the th= ings that had been done.

MOTION:

(Lynde/Viger) To authorize the expenditure of $11,700 from the Raymond Park Trust Fund = to cover the installation of irrigation system at Raymond Park Field.

Fire Chief Jim Midgley: Continued Discussion on proposed Fire Station

Fire Chief James= Midgley and Mr. Dave Mermelstein, Project Manager Trident Group (Salem, NH) met with the Selectmen to discuss the proposed fire station. Mr. Mermelstein stated in the past= week they had worked on the soft costs for the project which included engineering and architectural fees. He re= ported that they had renegotiated and removed over $60,000 in architectural fees; those funds were shifted into the owner’s project contingency remaini= ng inside the project costs. An e-mail was forwarded for review to the Selectm= en containing data regarding the design and pricing effort task and cash flow schedule (running July 12, 2011 – May, 2013. Mr. Mermelstein reviewed the information.

Mr. Viger confir= med that the fees listed on the schedule would come off the final total number. Mr. Mermelstein said that was corr= ect; those fees were drawn off the total project cost. Mr. Viger noted that the total pro= ject cost would be $335,000 (+/-) in twenty-three months. Mr. Mermelstein answered yes. Mr. Gleason noted that there was a request to expend approximately $210,000 prior to the (March) vote.

Mr. Lynde recall= ed that the previous bottom line number (prior to soft costs) being under $3 million. He asked if the amou= nt discussed came out of that number. Mr. Mermelstein said the soft costs were on top of the number previo= usly noted. Mr. Lynde questioned if there would be additional ‘soft cost’ items beyond what was discussed (i.e. equipment). M= r. Mermelstein said in the process there was also ‘furniture, fixtures a= nd equipment’. Mr. Lynde commented that the schedule was aggressive. He asked if it was fair to assume = the shell of the building would be up and they would be working on the inside by December. Mr. Mermelstein sta= ted the building would be weather tight by December.

Mr. Lynde asked = if there was any need for further expenditures in the existing location to get the F= ire Department to May of 2013. Ch= ief Midgley said the question was previously raised as to if the department cou= ld get by with what they had based upon how weather tight the new building was= , or if a temporary structure would be needed.&= nbsp; He said if the schedule remained aggressive and the contractors stay= ed on track, the building would be weather tight and could possibly be used for some of the vehicles with temperature issues. He said it wasn’t an optimal situation, but it may prevent them from having them need to spend an absorb= ent amount of money with no return. He said it wasn’t the best approach, but it may save a lot of money in t= he long run with the project. Mr. Lynde said it sounded like it might be feasible, with the only issue being = heat. Chief Midgley said if the garage w= as up and if they had to, the department could run heat (possibly supplemental/te= mporary) in the bay and bring in a trailer (beside the new building) for a couple mo= nths for the crew.

Mr. Viger asked = if it was realistic to utilize the building prior to it being completely finished. He said typically contractors owned a building and turned it over upon final inspection. Mr. Mermelstein replied that was typically the case. He would explore the option of preparing the site to receive a rental-type building = for the period prior to the building’s completion. Chief Midgley asked if something c= ould be put into the contract that as soon as the garage was weather tight, they= may be able to store apparatus inside. Mr. Mermelstein stated it might be a hard sell because of insurance purposes. He said they were h= appy to try and negotiate.

Mr. McDevitt not= ed moving was contingent upon the Town Center project and FairPoint starting to dig in front of the existing station. He understood that the discussion revolved around the worst case scenario.&n= bsp; Mr. Gleason answered yes. Mr. Viger commented he would rather know n= ow if they would need funds to house vehicles. Mr. Gaydos replied that they wouldn’t know that answer until probably right before Town Meeting. He said FairPoint would be the key player when they inform the Town of their schedule.

Mr. Lynde unders= tood there were hurdles to overcome getting into the building. He said it seemed documentation co= uld be structured and explored to answer the concerns of the contractor and gives = the Town some leeway. Mr. Mermelstein stated any documents they review are stru= ctured to the benefit of the owner; it was their number one job to protect the interest of the owner. He sai= d one option may be to compress the schedule even more; there may be some weekend/night work. He commen= ted there could be a discussion for this option as they got further into the process. Mr. Lynde asked who = would be the key players in having the flexibility to respond to that type of desire. Mr. Mermelstein said = they would drive the process and work to negotiate and compress the schedules.

Mr. Haverty beli= eved the best thing to do was to recognize there was a problem and not try to soluti= on it at this time. He felt they should understand the problem with FairPoint first, which was still undefin= ed. He said in the interest of making progress, they should work under the assumptions/schedule provided by Trident.

Mr. Gaydos said = there was a discussion with Trident early in the process, if the Town was to push= for a compressed schedule there would be increased costs. He asked if during the interview p= rocess with the construction manager they could discuss the issue. Mr. Mermelstein answered yes. Mr. Lynde agreed with Mr. Haverty,= but wanted it in people’s minds that contingency planning should also be done. Mr. Haverty agreed; he = felt they should recognize there was a problem, but keep their eye on what could= be controlled until details were available.

Mr. Gleason said= they would get a better insight as to the projection of the schedule in August w= hen meeting with the Department of Transportation (‘DOT’). He agreed that they should stay fo= cused but at the same time wanted to discuss if there could be segmented construction. He noted another alternative would be to get a temporary structure for the interim. He noted that he and Mr. McDevitt = would speak with the DOT in August regarding their schedule.

Mr. Viger said i= t appeared to get through August, the Selectmen would need to authorize the expenditur= e of $76,500. Mr. Gaydos said ther= e had been a discussion regarding how to control the funds. He explained if approvals were only given for the time period through August, there would be a need to come bac= k to the Selectmen to provide a regular status report. He noted that the breakout was spe= cific as to what had to be done and believed it would keep the project on schedule. Mr. Haverty liked t= he suggested approach, but questioned if the Selectmen would be handicapping t= he process. The Selectmen discus= sed the process of how they would proceed.&nbs= p; Mr. Mermelstein said if the Selectmen were to limit the expenditures= he would chose the first two on the proposed schedule: 1) Design Development Documents and CM Selection Process (July 2011 through August 2011 - $76,500 +/-); and 2) DD Set Review, Initial Pricing Effort and Reconciliation (September 2011 $12,000 +/-). This would get the process to the initial pricing exercise which will tell them a lot. He said they had a lot of really good data and the further it’s developed with the engagement o= f a construction manager, the firmer the number will be.&nb= sp;

Mr. Lynde questi= oned Mr. Mermelstein if he was confident in their relationship with B-M to get the j= ob done for the benefit of the Town. = Mr. Mermelstein stated they had discussions with them and were comfortable, bas= ed on what they had been told that they could perform and follow through. He noted they had recently complet= ed a sister station to what was proposed. He was confident that they could manage them to hit the targeted dat= es.

Mr. Haverty made= a motion to allow expenditure not to exceed $100,000 out of Fire Impact Fees = to get through the first two phases of the schedule proposed by Trident. Mr. McDevitt seconded the motion.<= span style=3D'mso-spacerun:yes'> He asked why the figure wouldnR= 17;t be limited to $88,500. Mr. Ha= verty said the two numbers were (+/-); whatever wasn’t spent would be used = at a later time.

Mr. Gleason ques= tioned, with the motion, if Mr. Mermelstein would report back to the Selectmen on a periodic basis. Mr. Mermelste= in said he would be available to the Selectmen at their determination. Mr. Viger proposed that there was general correspondence between the Fire Chief, Trident, Mr. Gaydos and the selected contractor; the Selectmen could review that correspondence on a bi-weekly basis or whenever they saw fit.&= nbsp; Mr. Haverty commented that he had been the Selectmen liaison to the original fire station project and offered to operate in that same capacity = for the proposed project. He said= if Mr. Mermelstein wasn’t available, he could keep the Selectmen appraised. The Selectmen acce= pted the offer and appointed Mr. Haverty as liaison.

MOTION:

(Haverty/McDevitt) To approve/allow the expenditure (of an amount) not to exceed $100,000 ou= t of Fire Impact Fees for the purposes of getting through the first two phases= of the document provided (e-mail from Gino Baroni of Trident, to Town Administrator Thomas Gaydos sent Tuesday, July 5, 2011 1:56pm).

OTHER BUSINESS CON’T….

Scheduling of Public Hearings for July 19, 2011:

Mr. Gaydos said it wasn’t expected for the Selectmen to make a = vote at the present meeting. He sa= id public hearings should be scheduled for the following:

Update of Junkyard Ordinance – A copy of the proposed Ordinance was provided to the Selectmen so they could review and provide comment. There were two areas Mr. Gaydos felt needed to be changed. 1) abutter notification; and 2) an= y reference to April 1^st needs to be amended to read July 1^st per= new legislation.

Mr. Gleason said there were several provisions that weren’t bei= ng abided by. Mr. Gaydos said he= had set up an appointment with the Fire Inspector to review the items that are = inspected.

A public hearing would be tentatively scheduled for July 19, 2011 if the Select= men were ready at that time.

Muldoon Park Egress – Mr. Gaydos hoped to finalize the easement language within the week and hold a public hearing July 19, 2011. There i= s a verbal agreement, the final written product is forthcoming.

Mr. Lynde asked if there was a construction time table. Mr. Gaydos said construction would= be mid-late August and would run approximately 25-30 days. A bid proposal is being finalized.=

Mr. McDevitt commented that the Planning Board had yet to weigh in on= the proposal. During their last r= eview, the plan didn’t contain sufficient detail; they needed a plan that sh= owed where the easement would be located and where the road would connect within= the park. Mr. Gaydos said now tha= t it was determined where the fence would be moved, he would obtain a final drawing. There was a brief discussion regarding the traffic flow; it was noted that the Highway Safety Committee recommended both egresses to be two-way traffic.

A public hearing will be scheduled for July 19, 2011. A member of the Highway Safety Com= mittee will be asked to be present to answer questions.

2012 Budget Schedule Review & Update

The schedule will remain basically as it was originally distributed.<= span style=3D'mso-spacerun:yes'> Assessing is going to be scheduled= for an alternate date. Mr. Gaydos discussed the proposed schedule and noted that the Budget Committee would h= ave the budget books well in advance of their first review meeting.

Junkyard Renewal Applications Status Update

Mr. Gaydos informed the Selectmen that all the applications had been received. He said at this poi= nt the inspectors have not completed their reports but they would be ready for the meeting July 19,= 2011.

TOWN ADMIN= ISTRATOR / SELECTMEN REPORTS

Mr. McDevitt, Mr. Haverty and Mr. Viger had no report.

Mr. Lynde inform= ed that the postponed concert was scheduled to be held July 6, 2011. An opening concert with local tale= nt will begin at 4:30pm, the main event concert begins at 6pm. The Library will be open during co= ncerts to tie in to the concerts and the Summer Reading Program.

Mr. Gleason had = no report.
