MOTION:

PUBLIC HEARING: 1<= sup>ST of Two (2) Hearings to Accept Property Donation from Brox Industries of Approximately 10 Acres Located at Tax Map 37, Lot 10-7. This property is being acquired fo= r use as conservation land.

Paul Gagnon, representing= the Conservation Commission came forward to discuss a proposed property donatio= n. Maps of the area were displayed sh= owing the property location. Mr. Ga= gnon read aloud a letter received from Brox Industries dated February, 2012. The letter indicated Brox was the = owner of Map 37, Lot 10-7 a ten acre parcel lo= cated off LeBlanc Road. The parcel is land locked an abuts= the Dracut, MA town line and also abuts three parcels owned by the Town (lot 10-10, 10-7 a= nd 10-9). Brox Industries has in= quired if the Town of Pelham would be willing to accept a donation of parcel 37-10-7. Mr. Gagnon noted that the parcel w= as purchased by Brox Industries in 1994 for $4000. He showed the Selectmen the locati= on of the parcel. In March, 2012 the Forestry Committee voted 4-0 to accept the donation and the Conservation Commission voted 5-0 in favor of accepting the parcel.

Mr. Gleason asked if the = Town owned the abutting lot 10-5. = Mr. Gaydos answered yes and described the Town owned parcel’s location. Mr. Gagnon noted that the Town own= ed that parcel first, and later purchased the Costa Conservation area, which t= ied into that parcel. Mr. Gleason= asked for the total acreage of the lots. Mr. Gagnon believed they were approaching approximately 150-170 acres. He noted that the prop= osed property wrapped to Birch = Lane, where there was an existing footpath access to Birch Lane. The land could also be accessed fr= om Frontier Drive and Dutton Road= .

There was no public input= .

Mr. McDevitt commented th= at this was the first of two public hearings; the Selectmen would take no further action at this time. The Publ= ic Hearing was closed.

ANNOUNCEMENTS

Mr. McDevitt announced th= at the former Pelham Selectman Paul Scott was displaying artwork at the Pelham Pub= lic Library. Mr. Scott is the June Artist of the Month. A recept= ion will be held to celebrate Mr. Scott’s work on Thursday, June 14, 2012 at 6:30pm.= The reception is free = and open to the public with light refreshments being served.

Forestry Committee member= Deborah Waters, Bay State Forestry Service Mike Powers and Dan Cyr came forward to speak with the Selectmen. Ms. Waters said they were presenting two forestry management plans; 1) Spring Street Town Forest (approximately 44acres), and 2) Doreen Drive wood lot (approximately 23 acres).

Mr. McDevitt believed the= re was an ownership question for lot 31-11-26 (Doreen Drive wood lot); there was a problem with the Town owning 99% of the land and someone else owning 1%. Ms. Waters said when the plan was originally drafted in 2010 it was reported that a small parcel of the lot w= as located across the street from the main parcel and consisted of 6.9 acres. She said at that time there were no discernable boundary lines and they would have needed to survey the parcel = to put it out for bid. In the preliminary discussions they concluded that the small piece wouldn’t = be included in the plan, however, they’ve learned that the boundary lines were now discernable. Mr. McD= evitt asked if the parcel where there was a split ownership between the Town and another party was part of the discussion.&= nbsp; Ms. Waters said it could be. Initially they weren’t going to consider it, but now that the boundaries were discernable it could be put out for bid. Ms. Waters said they didn’t = have to include it, because it wasn’t part of the main parcel. Mr. McDevitt told the Board that t= he Town owned 99% of the parcel. He briefly explained there had been a situation approximately 10 years ago relative to payment of taxes; the Town took what interest they could. He was unsure if they could cut wo= od on a parcel that they didn’t completely own. Mr. Lynde said the Town had a majo= rity ownership and felt a solution would be to take 1% of the profit and send it= to the other person. Mr. Gaydos = said that amount would be less the timber tax.&= nbsp; Mr. Lynde felt the Town should manage the property.

Mr. Gleason asked if the = boundary could define where the 1% ownership was located. Ms. Waters answered no. She commented that the Spring Street Town Forest was divided into two pieces; the main parcel was approximately 30+ acres and directly across the street was a 6 acre parcel that the Town owned 99% of.<= span style=3D'mso-spacerun:yes'>

Mr. Gaydos said the Asses= sing Technician e-mailed him a file earlier in the day. He asked if the Selectmen would li= ke to have counsel review the information and provide opinion if they could move forward with the forestry and provide the other owner with their percent. The Selectmen discussed how they w= ould like to proceed. Mr. Powers s= aid it was possible to have bids within two-three weeks from now. It wouldn’t be an issue to d= elay the process to obtain legal opinion. Mr. Gleason suggested putting the entire project out for bid pending legal review; if a legal issue comes up that portion of the bid wouldn̵= 7;t have to be awarded. Mr. Powers didn’t think there would be a problem. He said he could tell the bidders = up front that the six acres may be pulled out of the equation. Mr. Cyr agreed with Mr. Power̵= 7;s suggestion. He offered that a= site walk could also be set up with the part owner to see if they were receptive= to the project.

Mr. McDevitt believed the reasonable compromise was as discussed.&nb= sp; They bid the whole project with the potential of carving out the six acres and in the mean time check with counsel to determine what the Town could/could not do.

Mr. Powers provided a sum= mary of the two proposed forestry plans.

Mr. Lynde understood that= the plans were done two years ago and questioned the reason they were held off until now. Ms.Waters said the= y held off because there were issues on the parcels (noted in the plan), such as access, survey etc. She said = they had been working out there for awhile to pull the plans together. Mr. Lynde said encroachments of To= wn property was alluded to and questioned if it had been identified. Mr. Powers said he hadn’t se= en anything too significant. He believed the reference was to a southern portion of the Doreen Drive parcel where there may= have been some issues with the back yard or a shed being close to a boundary line. The surveyors were revi= ewing this. Ms. Waters pointed out = that one good thing with doing the forestry plans was marking the boundary lines= and blazing them.

Ms. Waters said they woul= d like to move forward. The plans we= re ready to be put out to bid; the timber is marked and the boundaries are blazed.

(Lynde/Gleason) To allow the Forestry Committee and Bay State Forestry to proceed with executing the Forestry Management Plans for the Spring Street Town Forest= and the Doreen Drive Wood Lot. =

Planning Director Jeff Gowan –

Planning Director Jeff Go= wan came forward and discussed the following subjects with the Board.

Roundabout Update- Mr. Gowan said they held their most recent meeting with the New Hampshire Department of Transportation (‘DOTR= 17;) regarding the roundabout project. The advertising date for the project is moving to July24, 2012; due = to an issue with utility design. This date change won’t make a difference in the actual project completion. It was noted that= the Garden Club had looked at the design for the center of the shared roundabout and think it would be nice to have some type of granite that would reflect = the Town’s history. If the = Town is amenable, the DOT may help put the granite into place. Mr. Gowan said if the Selectmen determined that a piece of granite was appropriate and it was produced duri= ng the construction the DOT would take care of the installation. If it were to be after the project= was finished the Town would need to seek the DOT’s permission and the Town paying for the installation. =

Mr. Gowan said the other = items for the Town were legal review of the maintenance agreement document and a demolition estimate figure. I= t was noted that the state would be paying for the demolition of the existing fire station. The Fire Chief has c= reated a list of what items would be brought to the new station. The state has completed a hazardous materials analysis of the materials in the station. The next meeting is scheduled for = June 27, 2012 a= t 10:30am. Once the meeting is concluded, Mr.= Gowan will provide a further update.

Road Behind Current Fire Station – Mr. Gowan circulated a= map showing the area behind the existing fire station. He said the proposal dealt with ad= ding green space as well as adding parking spaces that did not impact the Lawrence property= or church property. He said the = DOT reviewed the suggestion and came back with a price of $35,000 that could be included in their budget. This would include ta= king out the old pavement, installing new pavement and re-striping the parking spots. The DOT also discussed= , not closing the road behind the fire station, but instead adding a planning str= ip on the Nashua Road side with curbing that would frustrate the typical driver and allow emergen= cy egress.

Mr. Gleason said it was o= bvious that the parking behind the municipal building was inadequate at times. It was thought that the additional spaces would mitigate this situation. Having the parking spaces would also address times when functions we= re held in the Town center. The proposed walkway would facilitate egress from the parking lot into the roun= dabout. It would also provide the church w= ith access to the right-of-way. <= /p>

Mr. Gowan reviewed a map depiction of the area (behind the existing station) that would be altered to have parking spaces and a green space area. Mr. Lynde asked if there was a rea= son why the walkway wasn’t aligned with the roundabout crosswalk. Mr. Gowan said it was a rough illustration. The DOT will ta= ke the idea and apply tighter engineering. Mr. Lynde questioned why there was a stub at the north end of the parking area. Mr. Gowan repli= ed the stub was needed for vehicles parking in the last space to be able to back up and exit the area. He noted t= hat he had drawn in a landscaping buffer to the area; this was not something the D= OT would include in the project.

There was a consensus of = the Selectmen to proceed with the proposal. Mr. Gowan said there were a couple items for the Highway Safety Committee to discuss; he would obtain their opinion and submit it to the Selectmen.

Road Names, Old Br= idge Street / Acorn Lane - There was a brief discussion regard= ing the layout of the roads leading into the roundabouts and their proposed names. Under the new road lay= out Old Bridge Street connected in a straight path from Route 38 to Acorn Lane (fka Gibson Road). The DOT made the assumption that t= his path would be named Acorn = Lane. Mr. Gowan said this would be probl= ematic because of its affects on several residents. He felt it made sense to keep the = name Old Bridge Street and have the Acorn Lane section’s name changed to also be Old Bridge Street. This would affect one resident in = terms of a name change. Mr. Gowan s= aid the street name for the old path of Old Bridge Street (at the point it currently intersects with Acorn Lane= ) to the Town center needs to be addressed; this will impact three residents. It was suggested t= hat a public hearing process be conducted for the road name changes.

Mr. McDevitt commented th= at no one was happy about the Sarris family potentially having their road name changed; they were the resident primarily affected by the roundabouts. He said the Selectmen were keenly = aware of the situation. He said they w= ould expect to receive road name recommendations from the Highway Safety Committ= ee and after which plan on a public hearing.&= nbsp; Mr. Gaydos suggested Mr. Gowan contact the resident for road name suggestions. Mr. Gowan said he would encourage the home owner to attend the Highway Safety Committee meeti= ng and to be involved in the public hearing process.

Road Safety Audit -Mr. Gowan said at some time ago the DOT had = done a safety audit regarding the Mammoth Road/Sherburne Road intersection. He said in the past he’d exp= ressed a desire to conduct the same audit process at   Route 38 and Old Gage Hill Road North to determi= ne if safety could be improved. An = audit is tentatively scheduled for July 26, 2012 at 10am= . There would be a meeting in the mo= rning, observation at the site and then a meeting in the afternoon to share those observations. There was no objection by the Selectmen to proceed.

Flood Study – RFP and Vendor Selection Process – Mr. Gowan provided the Selectmen with the draft flood study RFP. Mr. McDevitt said understanding th= e document is a draft, the Selectmen have the opportunity to review the information and discuss thoughts/comments at their next meeting. Mr. Gowan reviewed the information provided.

Mr. Lynde recalled that t= hey were waiting to hear from Londonderry and questioned the status. Mr. Ga= ydos said they were waiting for a date when all three entities (Pelham, Londonderry, Army Corps of Engineers) could get tog= ether.

OTHER BUSINESS

Fire Station Update:

Fire Chief James Midgley = came forward for the discussion.

Project Schedule – Mr. Gaydos told Selectmen that he had a copy of the contract with Eckman Construction, which contained the guarante= ed maximum price (building alone - $2,988,035) which included $100,000 in owner’s (Pelham’s) contingency.   The construction schedule is= also included – June 19, 2012 through April, 2013. Until the Selectmen sign the contract with Eckman Construction, Eckm= an will not sign any agreements with any of the vendors, and will therefore not announce any of the selected vendors. Once the contract is signed Eckman will release the list and the Town can find out who the vendors are. Mr. Gaydos said the document was extremely thorough and asked that four copies = of such be signed. He suggested = Mr. Haverty be authorized to sign the contract on behalf of the Town given the = work he had done with the project.

Mr. Gleason said it was i= ndicated that the building price was $2,988,035 and asked what the total project cost would be. He asked what the b= alance of approximately $1,000,000 consisted of and what the guarantee was. Mr. Gaydos said those were the con= tracts signed earlier for the soft costs, which included the Town’s project cost. He said the contracts t= hey had signed were less than that $1,000,000 however they had assumed a certain float because they were still looking at certain aspects of communications = but none of which would exceed the original expectations. Mr. Gleason asked at what point th= ey would receive a project summary indicating the total project costs with a breakdown of the elements that composed that cost. He wanted to know what assurances = they had that the $1,000,000 was fixed if they signed the contract. Mr. Gaydos said it wasn’t fi= xed, because they would make the decision for what it would be spent on. He said they already had a contrac= t with Trident Corp. for oversight and a contract for the remaining architectural work. Mr. Gleason asked if an= y of those had maximum costs, or if they were projected costs. Mr. Gaydos said things like furnit= ure, fixtures, communications, and communications tower weren’t fixed. Mr. Gleason said theoretically, so= me of the soft costs might be sacrificed if they ran into problems. He didn’t get the feeling th= at the soft costs were limited. Mr. = Gaydos said during a discussion several weeks ago, he distributed a print out on t= he soft costs. That information contained a contingency number and budgets for things like furniture, a kitchen, window treatments etc. Mr. Gaydos said all those items came up to the $900,000. He said they had only committed to= the architectural and the oversight. He said the tower and communications were the two big items.

Mr. Gleason questioned wh= at would happen if the tower price comes in higher than anticipated. Chief Midgley said the $1,000,000 = was the furniture, fixtures and equipment (‘FFE’) cost. They have determined all the signi= ficant numbers for the telephone, infrastructure to run lines from the existing building to the new building, two-way communications and tower costs. They were looking at bringing in t= he tower base and spoken to the vendors; those numbers were ‘hammered= 217; down. He said in excess there= was money left over under the FFE costs and were confident they would bring the project in for exactly what they said they would do. Mr. Gleason reiterated his desire = to have the $3.9 million broken down into the building costs, the soft costs (elements), what’s been expended against those and see the remaining balance.

Mr. Lynde agreed that more insight was needed for the soft costs.&nbs= p; He was expecting to see what the bids were. Mr. Gaydos said they were made ava= ilable at the meeting they had with Eckman and believed the information had been s= ent to the Selectmen. He said they wouldn’t select anyone until the Selectmen signed their contract. Mr. Lynde understood once the cont= ract was signed, Eckman would start awarding the bids. Mr. Gaydos said they based their guaranteed maximum price on that, but wouldn’t release the information until the contract was signed. Mr. Haverty commented that the Town paid them to select the bidders. He said there was a schedule that = needed to be maintained, they knew what it would take to construct the building and felt the Selectmen should allow them to start the process. He said it sounded like the Fire C= hief had the priorities for the soft costs well in hand, after which it would be= a prioritization exercise. He didn’t want to hold the process up and would like to see the project proceed and trust in the method used by the Chief to prioritize and budget. Mr. Lynde agreed, but wanted to have more insight into the numbers. Mr. Haverty said the Board would h= ave those as the process moved forward, but he didn’t want to hold the project up for them.

Mr. Gaydos said since the= project had gone to Town Meeting they had stated that the construction cost couldn’t exceed $3,000,000 and the soft costs couldn’t exceed $900,000. He had a building c= ost that didn’t exceed that $3,000,000 and all the estimates to date (including contract commitments) had been well under $900,000. He said the results of the bid wouldn’t be available until the contract was signed.

The Selectmen discussed h= ow they wanted to proceed. Mr. McDevi= tt believed there were two separate issues: 1) sign the contract for the guaranteed max= imum price and 2) Mr. Gaydos to provide further breakdown of soft costs.

There was no objection by= the Selectmen to delegate Mr. Haverty to sign the contract on behalf of the Boa= rd.

Mr. Gaydos said Chief Mid= gley had been working with Trident and the vendors for all the ‘big ticketR= 17; soft cost items. Therefore wh= en a price is given by a vendor it is complete.= Fire Chief stated they had a spread sheet with FFE numbers and would provide such to the Selectmen because he believed it was what they were requesting. Mr. Gleason said ultimately he wanted a cost breakdown showing the significant elements brok= en out, the expended to date amount and the balance.

Mr. McDevitt asked that M= r. Gaydos provide the report to the Board for review.

Chief Midgley said at wor= st, the project start date was tentatively June 19, 2012. They were hoping to start clearing the land prior to then. There is a projected end date of April 19, 2013. The hop= e was to have the structure up by the beginning of September, 2012 and the roof structure on by mid-September, 2012.

Ground Breaking Date Announcement – Mr. Gaydos received an e-mail giving Ju= ne 19, 2012 or June 21, 2012= as the tentative dates. The Selectmen decided the ground breaking would tentatively be scheduled for June 19, 2012 a= t 10am.   They would check with Mr. Vi= ger to make sure he was available that date.

Pelham Public Works & Municipal Employees Agreement for 2012-2015 Approval & Signing

Mr. Gaydos said the Town = voted to approve the Pelham Public Works Municipal Employees contract that would run until 2015. He summarized the changes from the prior contract. The contract was ready for the Selectmen’s signature.

Board of Selectmen Summer Meeting Schedule (to include meeting l= ocation discussion)

After a brief discussion,= the Selectmen reached a consensus to keep their meetings at Sherburne Hall duri= ng the summer months.

There would be no meeting= s June 12 or 19, 2012. The next meet= ing will be June 26,= 2012.

SELECTMEN’S / TOWN ADMINISTRATOR REPORTS

Mr. Gaydos and Mr. Havert= y had no report.

Mr. Lynde noted that the = Supreme Court would be hearing oral arguments starting tomorrow on the redistricting case. He also noted that the = period for signing up for State Representative is opening up. He will attend a Municipal Advocacy meeting on Friday in Concord.

Mr. Gleason said the Nash= ua Regional Planning Commission will hold their quarterly commissioners meetin= g on June 20, 2012 in Sherburne Hall. He hoped they= could have camera coverage. They= 217;ve requested a meet and greet session with the Town’s major boards; Mr. Gowan will coordinate that effort. <= /span>Mr. Gleason said he would be meeting with the Council on Aging on Thursday.

Mr. McDevitt provided a b= rief overview of the recent Planning Board meeting.

·         Ob= tain status regarding Young’s Crossing and the flashing sign on Route 38/Gage Hill Road/Ledge Road intersection and from Police Chief.
